General Terms & Conditions (GTC) – 21. Consulting
1. Scope: These General Terms & Conditions (GTC) govern all consulting services provided by 21. Consulting ("Consultant") to its clients ("Client"). Consultant offers professional procurement and supply chain consulting services within the United States. These terms apply to all engagements unless otherwise agreed in writing.

2. Fees & Payment Terms: All consulting services are billed according to the agreed-upon rate structure. Payments must be made in U.S. dollars via bank transfer or other approved payment methods. Invoices are due within seven days of issuance. Late payments are subject to a 1.5% monthly interest charge.

3. Liability & Indemnification: Consultant provides advisory services and does not guarantee specific business outcomes. Consultant is not liable for any direct, indirect, or consequential damages arising from its services. Client agrees to indemnify and hold Consultant harmless against any claims, damages, or losses arising from the implementation of Consultant’s advice.

4. Confidentiality: Both parties agree to maintain strict confidentiality regarding any proprietary or sensitive information shared during the engagement. This obligation remains in effect for five years after the termination of services.

5. Governing Law & Jurisdiction: These GTC shall be governed by and interpreted in accordance with the laws of the State of Tennessee, United States. Any disputes arising under these terms shall be resolved in the appropriate courts located in Tennessee.

6. Termination: Either party may terminate the consulting engagement with 30 days' written notice. Fees for services rendered up to the termination date remain payable. If termination occurs due to non-payment or breach of contract, Consultant reserves the right to suspend or cease services immediately.

7. Miscellaneous: These GTC constitute the entire agreement between Consultant and Client, superseding any prior agreements. Any modifications must be agreed to in writing by both parties. If any provision is deemed invalid, the remaining terms shall remain in full force and effect.

By engaging 21. Consulting, the Client agrees to these General Terms & Conditions.
